1. Introduction
Welcome to Ushaa Global Export. These Terms and Conditions govern all inquiries and subsequent business transactions arising from inquiries submitted through our website. By submitting an inquiry, you acknowledge and agree to be bound by the terms outlined herein.
2. Nature of Business
Ushaa Global Export is engaged in the export of food-grade agricultural products, including but not limited to dehydrated garlic, spirulina, and moringa. Our services are strictly B2B (business-to-business), and no direct consumer transactions are undertaken.
3. Inquiry-Based Engagement
This website is intended solely for receiving business inquiries. It does not support direct purchases, user registration, or online transactions. All sales and contracts are concluded offline upon mutual agreement following the inquiry.
4. Governing Law and Jurisdiction
These Terms and any agreement or contract arising hereunder shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes shall be subject to resolution through arbitration in accordance with Indian Arbitration and Conciliation Act, 1996, as amended.
5. Trade Terms
All shipments and transactions shall be carried out in accordance with Incoterms 2020, specifically on FOB (Free on Board) or CIF (Cost, Insurance, and Freight) terms, as mutually agreed in the commercial contract.
6. Payment Terms
The standard payment structure is as follows:
- 60% to 70% advance payment upon confirmation of the pro forma invoice;
- Remaining balance to be settled via an Irrevocable Letter of Credit (LC) issued by a recognized financial institution, unless otherwise agreed in writing.
All payments must be made in the agreed currency and within the time frames specified in the commercial agreement.
7. Returns and Refunds
We operate a no-return and no-refund policy as standard practice, due to the nature of exported food products. However, any exceptional cases arising from quality issues or shipping discrepancies may be reviewed on a case-by-case basis, subject to mutual agreement.
8. Product Liability
While Ushaa Global Export ensures all products are sourced and processed in compliance with relevant Indian and international standards, liability is limited strictly to the value of the goods as per the invoice. The buyer assumes all responsibility upon shipment, unless otherwise agreed under CIF terms.
9. Pricing and Documentation
Prices quoted are exclusive of applicable taxes, duties, and shipping charges unless otherwise stated. All documentation including invoices, packing lists, health certificates, and Certificates of Origin will be provided as agreed at the time of contract execution.
10. Customs Duties and Risk Transfer
All customs duties, taxes, or levies imposed at the destination country are the sole responsibility of the buyer. Risk of loss and title transfer occurs:
- FOB: Upon loading at the Indian port of departure.
- CIF: Upon delivery at the buyer’s designated port.
11. Limitation of Liability
Ushaa Global Export shall not be liable for any indirect, incidental, or consequential damages arising from the use of our website or delay/failure in fulfilling a confirmed order due to circumstances beyond our control (force majeure).
12. Modifications
Ushaa Global Export reserves the right to update or modify these Terms and Conditions at any time without prior notice. Changes will be effective once posted on this website.
